These Terms and Conditions ("Terms") govern the use of the Wolpaq website at www.wolpaq.com and the engagement of Wolpaq's services, including the design, supply, installation, and maintenance of Wind + Solar Hybrid Energy systems, Smart AI Classrooms, IT Infrastructure, CCTV & Surveillance systems, and Building Automation solutions. By accessing our website or engaging our services, you agree to be bound by these Terms. Please read them carefully before proceeding.

1. Definitions

• "Wolpaq" refers to Wolpaq smart Solutions, its directors, employees, agents, and authorised representatives.
• "Client" refers to any individual, institution, organisation, or company that engages Wolpaq's services or accesses the Wolpaq website.
• "Services" refers to all products, solutions, installations, consultations, and maintenance activities offered by Wolpaq.
• "Project" refers to any agreed scope of work documented in a formal proposal or purchase order between Wolpaq and the Client.

2. Engagement and Project Agreement

All projects begin with a written proposal or quotation issued by Wolpaq and accepted by the Client. The acceptance of a proposal — whether by signature, email confirmation, or purchase order — constitutes a binding agreement between both parties. Any modifications to the agreed scope of work must be approved in writing by both parties prior to implementation. Wolpaq reserves the right to decline any engagement at its sole discretion.

3. Payment Terms

Unless otherwise agreed in writing, the following standard payment terms apply to all Wolpaq projects:

• 50% advance payment upon project confirmation and purchase order
• 40% upon delivery of materials and equipment to site
• 10% upon successful commissioning and handover

Invoices are payable within 7 working days of issuance. Wolpaq reserves the right to suspend work on projects where payment obligations are not met within the agreed timelines. Late payments may attract interest charges as per applicable law.

4. Client Responsibilities

The Client agrees to:

• Provide timely access to the site, premises, and relevant personnel as required for project execution
• Ensure that all necessary approvals, permits, and clearances from local authorities or building management are in place prior to the commencement of work
• Provide accurate information regarding existing infrastructure, energy consumption, and site conditions during the assessment and design phase
• Ensure a safe working environment for Wolpaq's installation teams throughout the project
• Designate a point-of-contact for day-to-day project coordination

5. Intellectual Property

All system designs, engineering drawings, software configurations, documentation, and proposals prepared by Wolpaq remain the intellectual property of Wolpaq unless expressly transferred in writing. The Client is granted a non-exclusive licence to use such materials solely for the operation and maintenance of the installed system. Reproduction, sharing, or commercial use of Wolpaq's proprietary materials without written consent is strictly prohibited.

6. Limitation of Liability

Wolpaq's total liability to the Client in connection with any project or service shall not exceed the total project value paid by the Client for that specific engagement. Wolpaq shall not be liable for indirect, consequential, or incidental losses including loss of revenue, loss of data, or business interruption arising from the use or failure of any installed system, unless caused by Wolpaq's proven gross negligence or wilful misconduct.

7. Force Majeure

Wolpaq shall not be held liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, floods, fires, acts of government, supply chain disruptions, pandemics, or industrial disputes. In such events, Wolpaq will notify the Client promptly and endeavour to resume normal operations as soon as reasonably practicable.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka, India. In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation before pursuing legal proceedings.

9. Amendments

Wolpaq reserves the right to update these Terms at any time. The current version will always be available on this page. Continued use of our website or services following any update constitutes acceptance of the revised Terms.
